Terms and Conditions
These Terms and Conditions (“Terms”) govern access to and use of the Classix360 application, website, portals, software, dashboards, mobile applications, communication tools, reports, and related services collectively referred to as the “Platform”.
The Platform is owned and operated by Skillnest360 Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at BN Reddy Nagar, Ranga Reddy District, Hyderabad, Telangana, India (“Skillnest360”, “Company”, “we”, “our”, or “us”).
By accessing, registering for, subscribing to, or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a school, trust, institution, organisation, or other legal entity, you confirm that you are authorised to accept these Terms on its behalf.
If you do not agree to these Terms, you must not access or use the Platform.
1. Definitions
For the purpose of these Terms:
“Classix360” means the school ERP, communication, administration, academic, learning, analytics, and related digital platform provided by Skillnest360.
“School” means any school, trust, educational institution, management body, academy, coaching centre, or organisation that registers, subscribes to, or uses the Platform.
“User” means any person using the Platform, including school owners, correspondents, principals, administrators, teachers, staff, parents, guardians, students, vendors, and authorised representatives.
“Student” means a child or learner whose academic, administrative, attendance, fee, communication, performance, learning, or related records may be managed through the Platform.
“Child” means an individual who has not completed eighteen years of age, as understood under applicable Indian data protection law.
“Parent” or “Guardian” means the parent, lawful guardian, or person authorised by the School to access information relating to a Student.
“Data Principal” means the individual to whom the personal data relates and, in the case of a Child, includes the parent or lawful guardian where applicable.
“School Data” means all data, records, content, documents, student information, staff information, parent information, attendance records, fee records, academic records, communications, uploads, images, and other information entered, uploaded, transmitted, or generated by or on behalf of the School.
“Personal Data” means digital personal data as understood under applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 and applicable rules.
“Services” means all services offered through or in connection with Classix360, including ERP access, school management features, portals, communication tools, reports, onboarding, support, training, updates, integrations, and any additional services agreed separately.
“Grievance Officer” or “Contact Person” means the person appointed by Skillnest360 to receive and address privacy, grievance, support, or data-related requests from Users, Schools, Parents, Guardians, Students, or other Data Principals.
2. Scope of the Platform
Classix360 is designed to support schools in managing academic, administrative, communication, operational, and digital engagement activities. Depending on the modules enabled for the School, the Platform may include features for:
- Student admissions and records.
- Attendance management.
- Fee management and payment tracking.
- Homework, assignments, exams, and results.
- Parent, student, teacher, and staff communication.
- Timetables, notices, circulars, events, and announcements.
- Reports, dashboards, and analytics.
- Staff and user management.
- Learning support, personalised journeys, or AI-assisted features where enabled.
- Other modules introduced or updated from time to time.
The exact features available to a School may depend on the applicable subscription, service schedule, commercial arrangement, configuration, implementation stage, or written agreement between the School and Skillnest360.
3. Relationship Between Skillnest360 and the School
Skillnest360 provides the Platform as a technology service provider. The School remains responsible for its own academic, administrative, financial, legal, regulatory, and operational decisions.
The School is responsible for determining what data is entered into the Platform, who is authorised to access it, how users are onboarded, and how information is communicated to parents, students, staff, and other stakeholders.
Skillnest360 does not independently verify the correctness, legality, completeness, or appropriateness of School Data entered by the School or its authorised users.
For most School Data processed through the Platform, the School determines the purpose and means of processing and Skillnest360 processes such data to provide the Platform and related services. However, Skillnest360 may act independently for limited purposes such as account administration, billing, security, fraud prevention, platform improvement, legal compliance, service analytics, and support operations.
4. Eligibility and Authorised Use
The Platform may be used only by authorised users approved by the School or by Skillnest360.
Users must provide accurate, complete, and updated information during registration or onboarding.
Users must not impersonate another person, create fake accounts, misuse login credentials, or access data they are not authorised to view.
Students may use the Platform only through access permitted by the School and, where required, with parent or guardian consent.
5. School Responsibilities
The School agrees to:
- Provide accurate and lawful data to the Platform.
- Obtain all necessary permissions, consents, and authorisations from parents, guardians, students, staff, and other individuals whose data is uploaded or processed.
- Ensure that only authorised personnel are given admin or staff access.
- Maintain proper internal controls over user access, passwords, data entry, approvals, fee records, communications, and reports.
- Inform Skillnest360 promptly if any user account is compromised or if unauthorised access is suspected.
- Use the Platform only for lawful school-related purposes.
- Ensure that notices, fee reminders, academic records, exam data, certificates, messages, and communications sent through the Platform are accurate and authorised.
- Comply with all applicable laws, including data protection, child protection, education, consumer protection, information technology, taxation, and communication laws.
The School acknowledges that Skillnest360 may rely on information, approvals, and instructions provided by the School and its authorised users.
6. Children’s Data and Student Protection
The Platform may process data relating to children and students. For the purpose of these Terms, a “Child” means an individual who has not completed eighteen years of age.
The School is primarily responsible for ensuring that children’s data is collected, uploaded, shared, and processed lawfully and with required parental or guardian consent wherever applicable.
Where Skillnest360 knows that it is processing children’s personal data through the Platform, Skillnest360 shall take reasonable steps to:
- Process such data only for providing, securing, maintaining, supporting, or improving the Platform and related services.
- Avoid using children’s personal data for unrelated advertising, behavioural targeting, or unrelated commercial profiling.
- Apply reasonable access control, confidentiality, and security measures.
- Assist the School, where reasonably possible, in responding to lawful data correction, access, deletion, consent withdrawal, grievance, or nomination-related requests.
- Ensure that employees, contractors, or authorised subprocessors accessing such data do so only on a need-to-know basis.
- Avoid processing children’s personal data in a manner likely to cause harm to the Child.
Nothing in these Terms permits the School or any User to misuse student information, share student data outside authorised school purposes, or process children’s data in violation of applicable law.
7. User Account and Login Security
Users are responsible for maintaining the confidentiality of their login credentials, passwords, OTPs, and account access.
Any activity performed through a valid user account may be treated as authorised unless the School or User has promptly reported unauthorised access.
Users must not share passwords, misuse another person’s account, bypass security features, reverse engineer the Platform, or attempt unauthorised access.
Skillnest360 may suspend or restrict access if it reasonably believes that an account is being misused, compromised, or used in violation of these Terms.
8. Parent and Student Access
Parent and Student access is provided to improve school communication, transparency, academic engagement, and administrative convenience.
Parents and Students understand that data shown in the Platform is generally provided, entered, approved, or maintained by the School.
Any concerns regarding attendance, marks, fee records, homework, disciplinary remarks, certificates, school policies, or academic decisions must first be raised with the School.
Skillnest360 is not responsible for academic decisions, fee decisions, disciplinary decisions, admission decisions, promotion decisions, examination outcomes, or school policies.
9. Data Ownership
The School retains ownership of School Data submitted to the Platform.
Skillnest360 does not claim ownership over School Data. The School grants Skillnest360 a limited right to host, process, transmit, display, store, back up, and use School Data only as necessary to provide, maintain, secure, support, and improve the Platform and related services.
Skillnest360 may use aggregated, anonymised, or de-identified data for service improvement, reporting, product development, benchmarking, research, or business insights, provided such data does not directly identify a specific student, parent, staff member, or School unless permission has been obtained.
10. Personal Data and Privacy
Skillnest360 may process personal data in accordance with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 and applicable rules.
The School is responsible for ensuring that personal data uploaded or processed through the Platform is collected and shared lawfully.
Where children’s personal data is processed, the School is responsible for obtaining required parent or lawful guardian consent unless otherwise agreed in writing or unless applicable law permits otherwise.
Skillnest360 may process personal data for purposes including:
- Creating and managing user accounts.
- Providing ERP and school management services.
- Managing attendance, academic records, fees, homework, exams, reports, and communication.
- Sending notifications, messages, reminders, alerts, and updates.
- Providing technical support and troubleshooting.
- Improving Platform performance, security, and reliability.
- Preventing fraud, misuse, unauthorised access, and security incidents.
- Complying with legal, contractual, and regulatory obligations.
Users and Data Principals may have rights under applicable data protection law, including the right to access information about personal data processing, correction, completion, updating, erasure, grievance redressal, withdrawal of consent where applicable, and nomination. The detailed process for exercising these rights shall be provided in Skillnest360’s Privacy Policy.
The School is responsible for assisting Parents, Guardians, Students, staff, and other Data Principals where the School controls or determines the relevant data processing. Skillnest360 may assist the School where reasonably possible and technically feasible.
A separate Privacy Policy should be read together with these Terms. In case of conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy shall apply to the extent of such conflict.
11. Cookies, Analytics, and Tracking Technologies
The Platform, website, mobile application, or related digital services may use cookies, session storage, local storage, device identifiers, analytics tools, log files, tracking technologies, or similar technologies for purposes such as login management, security, fraud prevention, session continuity, performance monitoring, usage analytics, error debugging, product improvement, and user experience enhancement.
Skillnest360 does not use cookies or tracking technologies to sell personal data.
Where required by applicable law, Skillnest360 shall provide appropriate notices, consent options, or preference controls through its website, app, browser settings, or Privacy Policy.
Users may be able to disable certain cookies or tracking technologies through browser or device settings. However, disabling essential cookies or session technologies may affect login, security, or Platform functionality.
A separate Cookie Policy or cookie section in the Privacy Policy may provide further details.
12. Subprocessors and Third-Party Service Providers
The Platform may rely on third-party service providers, vendors, or subprocessors for hosting, storage, communication, SMS, WhatsApp, email, payment gateway, analytics, security, cloud infrastructure, customer support, AI services, or other operational purposes.
Skillnest360 shall take reasonable steps to ensure that such service providers are subject to appropriate confidentiality, security, and data protection obligations, considering the nature of the services provided by them.
The School acknowledges that the availability, performance, security, and reliability of certain Platform functions may depend on third-party providers.
Skillnest360 shall not be responsible for failures, delays, outages, pricing changes, policy changes, or service disruptions caused by third-party providers, except to the extent directly caused by Skillnest360’s own wilful misconduct or gross negligence.
13. Communication Features
The Platform may allow Schools to send notices, alerts, messages, reminders, announcements, academic updates, fee reminders, attendance notifications, homework updates, exam information, and other communications to parents, students, staff, or other users.
The School is responsible for the content, timing, approval, legality, and accuracy of all communications sent through the Platform.
Skillnest360 is not responsible for disputes arising from incorrect, delayed, unauthorised, misleading, or incomplete communications sent by the School or its users.
Delivery of SMS, WhatsApp, email, push notifications, or other messages may depend on third-party providers, telecom operators, internet connectivity, user device settings, DLT/template approvals, spam filters, and external infrastructure. Skillnest360 does not guarantee successful delivery of every communication.
14. Fees, Payments, and Subscriptions
The commercial terms applicable to the School may be set out in a separate agreement, proposal, quotation, invoice, order form, service schedule, or written communication.
Unless expressly agreed otherwise:
- Fees are payable as per the agreed payment schedule.
- Taxes, if applicable, shall be charged in addition to the service fees.
- Delay in payment may result in reminders, temporary restriction, suspension, or discontinuation of services.
- Skillnest360 may charge additional fees for customisation, implementation, training, data migration, integrations, premium support, third-party services, additional modules, or usage beyond agreed scope.
- Amounts paid are non-refundable unless otherwise agreed in writing.
If the School receives Classix360 access as part of a bundled service arrangement, free access, promotional plan, pilot plan, or service-linked arrangement, Skillnest360 may define or revise the applicable conditions separately.
15. Free, Trial, Pilot, Promotional, or Bundled Access
Skillnest360 may provide the Platform on a free, trial, pilot, promotional, discounted, bundled, or service-linked basis.
Unless expressly agreed in writing:
- Free, trial, pilot, or promotional access may be limited in features, duration, usage, support, integrations, storage, communication credits, or service levels.
- Skillnest360 may modify, restrict, suspend, or discontinue free, trial, pilot, or promotional access at any time.
- Skillnest360 may require the School to move to a paid plan or service-linked arrangement to continue using the Platform.
- Support for free or trial users may be limited.
- Data export may be provided on a reasonable-efforts basis, subject to technical feasibility, lawful request, and pending dues, if any.
Where Classix360 is provided as part of a bundled service arrangement, continued access may depend on the School’s compliance with the relevant service terms, payment obligations, and commercial conditions.
16. Payment Gateway and Fee Collection
If online fee payment or payment gateway functionality is enabled, the School understands that payment processing may be handled by third-party payment service providers, banks, card networks, UPI systems, or payment aggregators.
Skillnest360 is not a bank, payment aggregator, payment system operator, wallet provider, or financial institution unless specifically stated in writing.
Skillnest360 does not hold parent or student fee amounts on behalf of the School unless specifically agreed and legally permitted. Payment collection, settlement, refunds, chargebacks, reconciliation, failed transactions, duplicate payments, and related disputes may depend on the payment gateway, bank, UPI provider, card network, or financial institution.
Unless otherwise agreed:
- The School is responsible for verifying fee records, settlements, concessions, discounts, penalties, refunds, and outstanding balances.
- Refund decisions shall be made by the School according to its own fee policy.
- Skillnest360 may facilitate technical support for payment-related issues but is not responsible for bank-side, gateway-side, UPI-side, or card-network failures.
- Any payment gateway charges, transaction fees, settlement charges, refund charges, or taxes may be charged separately or deducted by the relevant service provider.
17. Refund and Cancellation
Unless a separate refund or cancellation policy applies, payments made to Skillnest360 are non-refundable after activation, onboarding, configuration, service delivery, or commencement of subscription.
For school fee payments made by parents through the Platform, the refund decision belongs to the School unless Skillnest360 is expressly responsible under a separate written agreement.
Skillnest360 may assist with technical refund initiation where the payment gateway supports it, but the School remains responsible for approving and communicating refund decisions to parents or guardians.
A separate Refund and Cancellation Policy should be published if online payments are enabled.
18. Acceptable Use
Users must not use the Platform to:
- Violate any law, regulation, court order, or government direction.
- Upload false, misleading, illegal, harmful, abusive, defamatory, obscene, discriminatory, hateful, or threatening content.
- Harass, abuse, intimidate, or harm students, parents, staff, teachers, or other users.
- Upload viruses, malware, harmful code, or unauthorised scripts.
- Attempt to hack, overload, disrupt, damage, or interfere with the Platform.
- Access or attempt to access data without authorisation.
- Copy, resell, sublicense, rent, lease, or commercially exploit the Platform without written permission.
- Reverse engineer, decompile, modify, or create derivative works from the Platform.
- Use automated bots, scraping tools, or extraction tools without written approval.
- Use the Platform for political, religious, unlawful, misleading, spam, or unrelated commercial communication unless specifically permitted by the School and applicable law.
- Share student, parent, staff, or School Data outside authorised school purposes.
- Take screenshots, recordings, exports, or copies of student or school data for unauthorised use.
- Use Classix360 data, workflows, reports, or system outputs to build, train, support, or operate a competing product or service.
- Upload or share content that violates child safety, privacy, intellectual property, or confidentiality obligations.
Skillnest360 may remove content, restrict access, suspend accounts, or take appropriate action if misuse is detected.
19. Content Uploaded by Users
Users and Schools are responsible for all content uploaded, posted, transmitted, or shared through the Platform.
This may include text, images, files, documents, homework, notices, circulars, marks, attendance, comments, remarks, videos, reports, or other materials.
By uploading content, the User confirms that they has the right to upload and share such content and that it does not violate third-party rights or applicable law.
Skillnest360 may remove or restrict content that appears unlawful, harmful, unauthorised, or in violation of these Terms.
20. AI-Assisted Features
Classix360 may include AI-assisted, automation, analytics, recommendation, learning support, or intelligent workflow features.
AI-assisted outputs may include summaries, insights, alerts, recommendations, reports, suggested actions, learning support, communication drafts, or performance indicators.
Such outputs are intended to support human decision-making and should not be treated as final, guaranteed, or independently verified advice.
The School remains responsible for reviewing and approving any AI-assisted output before relying on it for academic, disciplinary, administrative, financial, or official decisions.
Skillnest360 does not guarantee that AI-assisted outputs will always be accurate, complete, unbiased, suitable, or error-free.
Skillnest360 shall not use identifiable children’s personal data for unrelated advertising or unrelated profiling through AI-assisted features unless legally permitted and appropriately authorised.
21. Service Availability
Skillnest360 will make reasonable efforts to keep the Platform available and functional. However, uninterrupted or error-free access is not guaranteed.
The Platform may be unavailable due to:
- Scheduled maintenance.
- Emergency maintenance.
- Server, hosting, network, or infrastructure issues.
- Internet or telecom failures.
- Third-party service failures.
- Security incidents.
- Software bugs or upgrades.
- Force majeure events.
- Actions or omissions of the School, users, or third parties.
Skillnest360 may update, modify, improve, suspend, or discontinue parts of the Platform from time to time.
22. Support and Maintenance
Skillnest360 may provide support through phone, email, WhatsApp, ticketing system, training sessions, documentation, or other channels as decided by the Company.
Support scope, response times, escalation process, and availability may depend on the School’s subscription, service agreement, or support plan.
Support does not include issues caused by user error, incorrect data entry, device problems, internet failure, third-party systems, unauthorised changes, or misuse unless specifically agreed.
23. Implementation, Onboarding, and Data Migration
Where Skillnest360 assists with onboarding, setup, configuration, or data migration, the School must provide accurate data, timely approvals, necessary documents, user lists, fee structures, academic structures, and other required information.
Skillnest360 is not responsible for delays caused by incomplete data, incorrect formats, late approvals, lack of School coordination, unavailability of staff, or dependency on third parties.
The School is responsible for validating migrated or uploaded data before operational use.
24. Data Export, Portability, and Return of Data
Upon termination or expiry of services, the School may request export of available School Data.
Subject to technical feasibility, lawful request, account verification, and settlement of outstanding dues, Skillnest360 may provide available data export in commonly used formats such as CSV, Excel, PDF, or other reasonable formats supported by the Platform.
Unless otherwise agreed in writing, Skillnest360 will make reasonable efforts to provide export within 30 days from receipt of a valid written request.
If the School has unpaid dues, Skillnest360 may withhold export, restrict access, or provide limited export until outstanding amounts are cleared, except where prohibited by applicable law.
Skillnest360 is not responsible for exporting data that has been deleted by the School, removed in accordance with retention rules, corrupted due to user action, unavailable due to third-party failure, or not technically captured by the Platform.
25. Data Retention and Deletion
Skillnest360 may retain School Data for the duration of service usage and for a reasonable period thereafter for backup, audit, legal, contractual, dispute resolution, compliance, and legitimate business purposes.
Upon termination, the School may request deletion of its data, subject to technical feasibility, applicable law, pending dues, backup cycles, and contractual obligations.
Backup copies may continue to exist for a limited period until overwritten or deleted in accordance with Skillnest360’s backup and retention practices.
Skillnest360 may retain anonymised, aggregated, or legally required records even after termination.
26. Data Security
Skillnest360 will take reasonable technical and organisational measures to protect data processed through the Platform.
Such measures may include access controls, authentication controls, data backup, logging, infrastructure security, employee access restrictions, and other reasonable safeguards depending on the nature of the data and service.
However, no digital system can be guaranteed to be completely secure.
The School and Users are responsible for secure password practices, correct user permissions, device security, and immediate reporting of suspected unauthorised access.
Skillnest360 is not responsible for breaches caused by weak passwords, credential sharing, user negligence, compromised devices, unauthorised staff access, phishing, or misuse by School-authorised users.
27. Security Incident and Data Breach Notification
If Skillnest360 becomes aware of a confirmed personal data breach or material security incident affecting School Data or Personal Data processed through the Platform, Skillnest360 shall take reasonable steps to investigate, contain, mitigate, remediate, and document the incident.
Where legally required, Skillnest360 shall notify the appropriate authority, affected School, and/or affected Data Principals as soon as reasonably practicable and within the timelines required under applicable law.
Where a breach affects School Data controlled by the School, Skillnest360 may notify the School and cooperate with the School in assessing whether notification to Parents, Guardians, Students, staff, regulators, or other affected persons is required.
The School shall cooperate with Skillnest360 in investigating and responding to incidents, including by providing relevant information, identifying affected users, communicating with Parents or Guardians where appropriate, and taking corrective action within its control.
The School must promptly notify Skillnest360 if it becomes aware of unauthorised access, suspected compromise, credential misuse, incorrect permissions, unauthorised disclosure, or any other security incident involving the Platform.
Skillnest360 shall not be responsible for security incidents caused by the School’s internal practices, unauthorised sharing of credentials, compromised devices, incorrect user permissions, weak passwords, phishing, or actions of School-authorised users.
28. Intellectual Property Rights
All intellectual property rights in the Platform, including software, design, source code, workflows, user interface, features, documentation, trade names, trademarks, logos, processes, algorithms, analytics models, databases, and product structure belong to Skillnest360 or its licensors.
“Skillnest360”, “Classix360”, associated logos, product names, designs, and brand elements are the property of Skillnest360.
Users and Schools are granted a limited, non-exclusive, non-transferable, revocable right to use the Platform in accordance with these Terms and applicable agreements.
No rights are transferred except as expressly stated.
29. Confidentiality
Each party may receive confidential information relating to business, technology, pricing, student data, school operations, product features, commercial arrangements, or other sensitive matters.
The receiving party must protect confidential information and use it only for the purpose for which it was shared.
Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.
30. Suspension and Termination
Skillnest360 may suspend or terminate access to the Platform if:
- Fees remain unpaid.
- The School or User violates these Terms.
- There is suspected unauthorised access, misuse, fraud, or security risk.
- The Platform is used for unlawful, abusive, or harmful purposes.
- The School fails to provide required cooperation or approvals.
- Continued service may expose Skillnest360 to legal, technical, financial, or reputational risk.
- A separate agreement between the parties is terminated.
The School may stop using the Platform in accordance with the applicable agreement or subscription terms.
Termination does not affect accrued payment obligations, confidentiality obligations, intellectual property rights, limitations of liability, indemnity, dispute resolution, or any clauses intended to survive termination.
31. No Guarantee of Academic, Financial, or Business Outcome
Classix360 is a technology enablement platform.
Skillnest360 does not guarantee improvement in student performance, increase in admissions, successful fee collection, parent satisfaction, regulatory compliance by the School, error-free records, successful message delivery, or any specific academic, financial, operational, or business outcome.
The actual benefit of the Platform depends on correct usage, School processes, data quality, staff adoption, parent participation, and external factors.
32. Limitation of Liability
To the maximum extent permitted by law, Skillnest360 shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profit, loss of business, loss of goodwill, loss of data, academic disputes, parent disputes, fee disputes, admission disputes, or reputational harm.
Skillnest360’s total liability under these Terms shall not exceed the amount actually paid by the School to Skillnest360 for the relevant service during the three months immediately preceding the event giving rise to the claim.
This limitation shall not apply where liability cannot be limited under applicable law.
33. Indemnity
The School agrees to indemnify and hold harmless Skillnest360, its directors, officers, employees, contractors, partners, and representatives from any claims, losses, damages, penalties, costs, or expenses arising from:
- Incorrect, unlawful, or unauthorised School Data.
- Failure to obtain required consents from parents, guardians, students, staff, or users.
- Misuse of the Platform by the School or its authorised users.
- Communications sent through the Platform by the School or its users.
- Fee, admission, academic, employment, disciplinary, or parent-related disputes.
- Violation of applicable laws by the School.
- Infringement of third-party rights by content uploaded by the School or users.
- Breach of these Terms or any applicable agreement.
- Unauthorised sharing, downloading, exporting, screenshotting, or disclosure of student, parent, staff, or School Data by School-authorised users.
This indemnity does not exclude Skillnest360’s responsibility for its own wilful misconduct, fraud, or gross negligence where liability cannot be excluded under applicable law.
34. Updates to the Platform and Terms
Skillnest360 may modify, update, enhance, or discontinue features of the Platform from time to time.
Skillnest360 may also update these Terms to reflect changes in law, business model, services, technology, security requirements, or operational needs.
Updated Terms may be published on the website, app, portal, or communicated through other reasonable means.
Continued use of the Platform after the updated Terms become effective will be treated as acceptance of the updated Terms.
35. Notices

Skillnest360 will make reasonable efforts to acknowledge and respond to genuine complaints, privacy requests, or support requests within timelines required by applicable law or within a reasonable time where no specific legal timeline applies.
Where a request relates to School Data controlled by the School, Skillnest360 may direct the User or Data Principal to the relevant School or may coordinate with the School as reasonably required.
Users may also refer to the Privacy Policy for the process of exercising data protection rights, withdrawing consent where applicable, raising grievances, or contacting the relevant authority.
37. Electronic Records and Acceptance
These Terms may be accepted electronically, including through website acceptance, app registration, checkbox confirmation, email confirmation, e-signature, continued usage, or execution of related agreements.
Electronic contracts and electronic records are recognised under Indian law, including the Information Technology Act, 2000 as amended.
38. Dispute Resolution and Arbitration
The parties shall first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith discussions.
If the dispute is not resolved within 30 days from the date one party notifies the other party of the dispute, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
Unless otherwise agreed:
- The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties.
- If the parties are unable to mutually appoint a sole arbitrator within 30 days from the date of written request for arbitration, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.
- The seat and venue of arbitration shall be Hyderabad, Telangana, India.
- The language of arbitration shall be English.
- The arbitral award shall be final and binding on the parties.
- Each party shall bear its own costs, unless the arbitrator decides otherwise.
Nothing in this clause prevents Skillnest360 from seeking urgent injunctive, equitable, interim, or protective relief from a competent court where necessary.
39. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to the arbitration clause above, the courts located at Hyderabad, Telangana, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or use of the Platform.
40. Force Majeure
Skillnest360 shall not be liable for delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including natural disasters, strikes, internet failures, telecom failures, cyberattacks, government actions, legal restrictions, power failures, war, pandemic, third-party service failures, hosting failures, or other force majeure events.
41. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
42. Entire Understanding
These Terms, along with the Privacy Policy, Refund and Cancellation Policy, applicable service agreements, quotations, invoices, service schedules, order forms, and written communications, constitute the understanding between Skillnest360 and the User or School regarding use of the Platform.
In case of conflict between these Terms and a separately signed agreement with a School, the signed agreement shall prevail for that School to the extent of the conflict.
